Make an Impact! We're looking for a highly motivated and experienced Senior Paralegal to join our corporate securities team. This role offers the chance to work on complex and impactful projects, collaborating with talented professionals across the organization. This is a hybrid position based in San Francisco, California, offering the flexibility to balance remote work with time in the office (2-3 set days a week, determined by leadership/site, with a general guidepost of being in the office 50% or more of the time based on business needs).
What You'll Do:
Support Securities Law Compliance: Assist the legal team with compliance related to securities laws and filings with the SEC, NYSE, and other regulatory bodies.
Prepare Regulatory Filings: Support the preparation of periodic and ad-hoc reports (Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, 13-F) and manage internal processes.
Manage Insider Trading Compliance: Maintain the company's insider trading compliance program and internal policies (Regulation FD and Related Person Transactions).
Oversee International Securities Filings: Manage international securities filings related to employee equity and ESPP purchases, ensuring compliance with local laws.
Collaborate Cross-Functionally: Partner with teams across Legal, External Reporting, Investor Relations, Treasury, People, Equity, and Compensation on various corporate legal matters, special projects, and processes.
Support Capital Market Transactions: Assist with due diligence and KYC requests for capital market transactions.
Manage Shareholder Inquiries: Work with transfer agents and respond to shareholder questions and inquiries.
Assist with Compliance Activities: Support document production for SOX compliance, internal audits, and other compliance requirements.
Support Corporate Governance: Contribute to corporate governance and compliance processes, including record-keeping, officer and director onboarding/offboarding, and preparation of board meeting materials.
What You'll Bring:
5+ years of relevant work experience with a Bachelor's Degree OR 2+ years of work experience with an Advanced Degree (e.g., Masters, MBA, JD, MD) OR 0 years of experience with a PhD (required).
6+ years of relevant work experience with a Bachelor's Degree OR 4+ years of relevant experience with an Advanced Degree (e.g., Masters, MBA, JD, MD) OR up to 3 years of relevant experience with a PhD (preferred).
Experience as a corporate paralegal, ideally with a top-tier international law firm or a global in-house legal department at a large public company (preferred).
Excellent written communication skills and experience conducting legal research and reviewing public filings.
Proficiency with Section 16 and EDGAR filings (preferred).
Exceptional attention to detail, organizational, and time management skills.
Ability to work independently and collaboratively in a fast-paced environment.
Ability to prioritize and manage multiple projects under pressure.
A positive, collaborative, and professional mindset.
Initiative to identify and solve problems and drive process improvements.
Experience with confidential and sensitive matters.
High proficiency in Microsoft Office programs (Word, Excel, PowerPoint, Outlook, and Teams).
Notary public license or willingness to obtain one.
What We Offer:
Competitive Compensation: $100,700 to $162,000 per year (estimated). Actual pay may vary based on job-related factors.
