**About the Role:**
We are a leading global company seeking a Sr. Paralegal with at least seven years of relevant experience to support our corporate securities functions. This role involves collaborating with our legal team and other stakeholders to uphold our corporate practices and policies, while providing general paralegal support.
**Location:**
- San Francisco, California
**Responsibilities:**
- **Regulatory Compliance:** Assist the legal team with securities law compliance and various regulatory filings, including SEC, NYSE, and other regulatory requirements.
- **Regulatory Reporting:** Support periodic and ad-hoc regulatory reporting, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, 13-F, and maintenance of insider trading compliance programs.
- **International Filings:** Oversee international securities filings related to employee equity and ESPP purchases, ensuring compliance with local laws.
- **Cross-Functional Collaboration:** Partner with various teams (e.g., Legal, External Reporting, Investor Relations, Treasury, HR, Equity, Compensation) on corporate legal matters and special projects.
- **Capital Market Transactions:** Support capital market transactions, including due diligence and KYC requests.
- **Shareholder Support:** Work with transfer agents and assist with shareholder inquiries.
- **Compliance Documentation:** Assist with document production for SOX compliance, internal audits, and other compliance requirements.
- **Corporate Governance:** Support corporate governance processes, including record-keeping, officer and director onboarding, preparation of board meeting materials, and other related tasks.
**Work Arrangement:**
- This is a hybrid position, allowing for a mix of remote and office work. Employees are expected to work from the office 2-3 days a week, with a general guideline of being in the office 50% or more of the time based on business needs.
**Qualifications:**
**Basic Qualifications:**
- 5+ years of relevant work experience with a Bachelor's Degree or 2+ years with an Advanced degree (e.g., Masters, MBA, JD, MD) or 0 years with a PhD.
**Preferred Qualifications:**
- 6+ years of work experience with a Bachelor's Degree or 4+ years with an Advanced Degree or up to 3 years with a PhD.
- Experience as a corporate paralegal, preferably with a top-tier international law firm or a global in-house legal department.
- High-quality written work and experience with legal research and public filings.
- Proficiency with Section 16 and EDGAR filings.
- Excellent attention to detail, organizational skills, and time management.
- Ability to work independently and manage multiple projects under deadline pressure.
- Collaborative mindset, positive attitude, and a desire to make an impact.
- Experience handling confidential and sensitive matters.
- Proficiency in Microsoft Office programs (Word, Excel, PowerPoint, Outlook, Teams).
- Licensed, or willing to be a notary public.
**Additional Information:**
- **Work Hours:** Varies based on department needs.
- **Travel Requirements:** This position requires travel 5-10% of the time.
- **Work Environment:** This position will be performed in an office setting, requiring the ability to sit and stand at a desk, communicate in person and by telephone, and operate standard office equipment.

**Compensation:**
- The estimated salary range for this position is $100,700 to $162,000 USD per year, which may include potential incentive payments. Salary may vary based on knowledge, skills, experience, and location. This position may also be eligible for bonus and equity.
